Terms of Service

1. Acceptance of Terms
By downloading, installing, or using Sonaco (the "App" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Sonaco ("we," "us," or "our") governing your use of our content scheduling and publishing platform.
2. Description of Service
Sonaco is a content scheduling and publishing platform that helps users plan, create, and publish content across multiple channels:
- Calendar & Scheduling: Visual content calendar with week and day views, drag-and-drop scheduling, recurring events
- Telegram Publishing: Schedule and publish posts to Telegram channels and groups
- Instagram Publishing: Schedule and publish content to Instagram accounts via the Graph API
- AI Content Generation: AI-powered content creation and editing using third-party language models
- Workspace Collaboration: Multi-user workspaces with roles and permissions
- Analytics: Post performance metrics and channel growth tracking
- Notes: Personal notes with scheduling and tagging capabilities
3. Account Registration
Account Creation
- An account is required to use the Service
- You register with your email address and password
- Email verification is required for full access
- You must provide accurate and complete information
Account Responsibilities
- You are responsible for maintaining the security of your account credentials
- You must not share your account with others
- You are responsible for all activity under your account
- You must notify us immediately of any unauthorized access
- You must be at least 16 years old to use the Service
4. Subscription and Pricing
Subscription Plans
Sonaco offers the following subscription plans:
- Pro: Up to 5 workspaces and 10 channels
- Team: Up to 15 workspaces and 30 channels
- Agency: Unlimited workspaces and channels
Free Trial
- New users may receive a 14-day trial period
- Trial is available once per user
- Full feature access during the trial period
Billing
- All payments are processed through our web platform at my.sonacosan.com
- Subscriptions are available on monthly and annual billing cycles
- Payments are processed via a third-party payment gateway
- The iOS app does not offer in-app purchases. Subscription management is handled exclusively through the web platform
- Prices are displayed in Russian Rubles (RUB)
Cancellation and Refunds
- You may cancel your subscription at any time through the web platform
- Access continues until the end of the current billing period
- Refund requests are handled on a case-by-case basis via support
Grace Period
If your subscription expires or payment fails:
- Days 0–7: Warning period — full access with renewal reminders
- Days 7–30: Limited access — read-only mode, content creation disabled
- After 30 days: Frozen — all access blocked until subscription is renewed
5. Use of Service
Acceptable Use
You agree to use the Service only for lawful purposes. You agree NOT to:
- Generate, schedule, or publish content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Violate any applicable laws or regulations
- Infringe on any third-party intellectual property rights
- Distribute spam, phishing content, or malware
- Attempt to gain unauthorized access to the Service or its systems
- Reverse engineer, decompile, or disassemble any part of the Service
- Circumvent any security measures, rate limits, or usage restrictions
- Use the Service for any purpose that promotes violence, discrimination, or hatred
- Impersonate any person or entity
Content Ownership
Your Content:
- You retain all rights to the content you create and publish
- You grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service
- You are solely responsible for the content you create, schedule, and publish
- You must have the right to use any content you upload or publish through the Service
AI-Generated Content:
- Content generated by AI features is provided "as-is"
- You are responsible for reviewing, editing, and approving AI-generated content before publishing
- AI-generated content may contain errors or inaccuracies
- We do not claim ownership of AI-generated content
- AI-generated content does not constitute professional advice
6. Third-Party Platform Compliance
When publishing content through the Service to third-party platforms (Telegram, Instagram, etc.), you must also comply with their respective terms of service and community guidelines. We are not responsible for any actions taken by third-party platforms against your accounts.
7. Privacy and Data
Your use of the Service is governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
8. Intellectual Property
The Service, including its design, features, functionality, and underlying technology, is owned by Sonaco and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- Content will be published successfully to third-party platforms
- AI-generated content will be accurate, appropriate, or suitable for your purposes
- The Service will meet your specific requirements
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONACO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, OR OTHERWISE.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold Sonaco harmless from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Content you create, schedule, or publish through the Service
- Your violation of any third-party rights
- Your violation of any applicable laws or regulations
12. Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
13. Termination
By You
You may terminate your account at any time by contacting support or through the web platform settings.
By Us
We may terminate or suspend your account if you violate these Terms, engage in fraudulent activity, abuse the Service, or fail to pay subscription fees.
Effect of Termination
- Your right to use the Service ceases immediately
- We may delete your account data after a reasonable retention period
- No refunds for unused subscription time unless required by applicable law
- Provisions regarding liability, indemnification, and governing law survive termination
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of Turkey, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiations. If a dispute cannot be resolved informally within 30 days, it shall be submitted to the competent courts of Istanbul, Republic of Turkey.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, through in-app notifications. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Apple App Store Terms
If you access the Service through an iOS application downloaded from the Apple App Store, the following additional terms apply:
- These Terms are between you and Sonaco, not Apple Inc. ("Apple"). Apple is not a party to these Terms
- Apple has no obligation to provide maintenance or support for the App
- In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. Apple has no other warranty obligation with respect to the App
- Apple is not responsible for addressing any claims relating to the App, including product liability, legal compliance, or intellectual property infringement
- In the event of any third-party claim that the App infringes a third party's intellectual property rights, Sonaco, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of such claim
- Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple has the right to enforce them against you as a third-party beneficiary
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government prohibited or restricted parties list
17. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sonaco regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights to any successor.
